Mid-Level Corporate Securities Associate – Am Law 200 Opportunity | Denver, CO

A prominent Am Law 200 firm is seeking a Corporate Associate to join its Capital Markets practice in Denver. This is a dynamic role for attorneys eager to work with leading issuers, investment banks, and other market participants on complex securities transactions and compliance matters.

Their areas of practice include construction, corporate, education, government, insurance, health care, retail, litigation, life sciences international, labor and employment, wealth management, and construction. Key Responsibilities:

• Draft and advise on SEC registration statements and related disclosures.

• Lead due diligence teams and coordinate with internal specialists on corporate transactions.

• Manage public and private securities offerings, including PIPEs.

• Oversee regulatory compliance and corporate governance requirements for public companies.

• Handle multiple deal assignments independently and effectively.

Qualifications:

• 2–5 years of relevant experience in securities law and capital markets transactions.

• JD from an accredited law school with strong academic performance.

• Bar admission in Colorado (or willingness to waive in).

• Knowledge of public company reporting requirements under the ’33 and ’34 Acts.

• Proven ability to manage complex matters with minimal supervision.

• Strong written communication and interpersonal skills.
